Chadwick Associates Web Design - Terms and Conditions

(Please ensure that you read and understand these conditions before placing an order.)

1. Contract: The client’s approval for work to commence shall be deemed a contractual agreement between the client and Chadwick Associates. Important: Approval for the work to commence and payment of the advance deposit indicates that the client accepts the terms and conditions outlined in this document.

2. Intellectual Copyright: Chadwick Associates will hold intellectual copyright of any material, including any source code and original images created for the client until payment of the final invoice. At this time we will transfer this intellectual copyright to the client.

3. Web Developer Credits: All our website designs display a web developer credit on the footer. The client agrees to allow Chadwick Associates to claim credit for the design and the services rendered by keeping a link, visible to search engines, to www.chadswebstudio.co.uk on the Client’s Site and in the author meta tags of Client’s Site whilst the website is being maintained by us or for a minimum period of 1 year from the date of first invoice, if the site is not maintained by us.

4. Clients Responsibilities with Regard to Copyright: In situations where the client provides text, images, animations, video or any other content for their website, they are legally responsible for ensuring that this material does not infringe any copyright. Images provided by Chadwick Associates in the design and construction of the website will have been purchased under licence from stock image suppliers. Some of these images may only be licensed for use on a single website and so may not be used in publicity material. The website owner is legally responsible for ensuring that this does not happen. If you wish to use any images from the site for other advertising or other purposes please contact us for clarification.

5. Website Hosting: Whilst Chadwick Associates offers website hosting, no guarantees can be made as to the availability or interruption of this service by Chadwick Associates. We cannot accept liability for losses caused by the unavailability, malfunction or interruption of this service, or for loss of turnover, sales, revenue, profits or indirect, consequential or special loss.

6. Search Engine Promotion: Chadwick Associates is not responsible for the client’s on-going web site promotion. Should the client require their website to be promoted on an ongoing basis a separate contract must be agreed. The order in which websites are ranked in the search results is controlled entirely by the search engines. All our designs include basic search engine optimisation as standard but we cannot guarantee high placings in search engine results.

7. Cancellation: Should the client wish to cancel at any point during the design and development process they shall remain liable for the work that has taken place and shall be invoiced accordingly. Giving approval for work to commence is deemed to be acceptance of this liability.

8. Time Deadlines: Where a deadline for the completion of a website design has been agreed, this can only be met when the client fulfils their side of the agreement by delivering text and content by their agreed deadlines. Chadwick Associates cannot be held liable for costs incurred, compensation or loss of earnings due to the failure to meet agreed deadlines.

9. Quotations: The price quoted to the client is for the work specified in the quotation only. Should the client decide that changes are required after work on the website commences, then additional charges may be applicable.

10. Deposit: An advance of 25% of the total cost of the project is required before work can commence. After work commences this is non-refundable.

11. Payment terms: Once a website has been completed the final balance of payment is then due before the site is published. There are no exceptions to this. If the client decides they no longer require the website, they are still obliged to pay for the work that has been done, having commissioned the work. Terms for subsequent development on the site are strictly 30 days for approved accounts.

12. Future Support: The website is provided to and accepted by the client as a fully functioning, completed work. The cost of future development will be charged at our current hourly rate unless a support package is purchased.

13. Future Site Problems: Chadwick Associates will endeavour to protect your website from malicious software, spyware, viruses and website hacking as much as possible during its creation. We cannot be held responsible for problems that develop on completed sites as a result of illegal activity.

14. Compliance with Ecommerce, Accessibility or Other Regulations: We design websites in accordance with the client’s specifications. It is the client’s responsibility to ensure that the website and its content comply with standing regulations. We cannot accept responsibility for any failure to comply with regulations related to accessibility, selling online or those related to a specific business or trade. We can research this on the client’s behalf upon request, but in any business where complex compliance issues exist we recommend that the client takes legal advice from their company lawyer.

15. Compatibility: Chadwick Associates will endeavor to ensure that any developed/designed website or application will function correctly on the server on which it is initially installed, and that it will display correctly when viewed with all the current major web browsers (Internet Explorer, Opera, Mozilla Firefox). Chadwick Associates cannot accept responsibility for pages which do not display acceptably in new versions of browsers released after the website has been completed.

16. Offensive Material: Chadwick Associates reserve the right to refuse to handle in any way, material which may be deemed offensive, illegal or in any way controversial, and also to terminate any hosting or design service should the necessity arise.

Notes:
Should Chadwick Associates waive any of these terms on an individual basis, this shall not affect the validity of remaining clauses or commit Chadwick Associates to waive the same clause on any other occasion.

By agreeing to these terms and conditions your statutory rights are not affected.

Chadwick Associates reserves the right to change or modify any of these terms or conditions at any time. Should clarification of any of the above be required please contact us.
